  1. Acceptance of Terms

    By accessing or using FrontRx, you agree to these Terms and to the FrontRx Privacy Policy. If you use FrontRx on behalf of a clinic, healthcare organization, corporation, or other entity, you represent that you have authority to bind that organization and that the organization and its authorized users will comply with these Terms.

  2. Service description

    FrontRx is a clinical workflow and documentation-support platform. Depending on configuration, it may provide AI-assisted transcription, draft clinical-note generation, draft prescription/order-support workflows, patient-list management, secure communications including eFax, and RAMQ billing-support workflows. FrontRx may be accessed through a public website, a physician portal, and mobile applications.

  3. FrontRx is not an EMR and does not provide medical advice

    FrontRx is not an electronic medical record, is not the official patient chart, and is not a substitute for a clinic's professional recordkeeping obligations. FrontRx does not provide medical advice to patients and does not create a physician-patient relationship with patients. Users remain responsible for exporting, filing, signing, communicating, and retaining required clinical documents in the appropriate official record systems.

  4. AI outputs are drafts requiring clinician review

    AI-assisted outputs produced by FrontRx, including transcripts, summaries, notes, prescription/order drafts, billing-support outputs, and other generated content, are draft clinical or administrative-support materials only. A licensed healthcare professional must review, validate, correct where required, and approve each output before relying on it, signing it, transmitting it, adding it to a medical record, or using it for patient care or billing. FrontRx does not diagnose, prescribe, determine treatment, make automated clinical decisions, or replace professional judgment.

  5. Authorized users and eligibility

    FrontRx may be used only by authorized healthcare professionals, clinic staff, administrators, auditors, contractors, and other users approved by FrontRx or the relevant clinic. Each user must use a unique account, maintain current professional credentials where applicable, complete required verification, and use the platform only for legitimate professional, clinical, administrative, security, or audit purposes.

  6. User obligations

    You agree to:

    • use FrontRx only within your authorized role and clinic workspace;
    • keep credentials confidential and not share accounts;
    • use multi-factor/two-factor authentication where required;
    • verify patient identity and relevant clinical context before using outputs;
    • obtain and document valid patient consent before recording or processing patient information;
    • comply with applicable professional, privacy, health, billing, and recordkeeping obligations;
    • ensure that outputs are reviewed and validated by the responsible licensed professional;
    • verify destination information before sending any eFax or external communication;
    • not upload, transmit, or process information that you are not authorized to process;
    • not attempt to bypass access controls, audit logging, security controls, or retention settings.
  7. Patient consent and minors

    Before using FrontRx to record or process patient information, the responsible healthcare professional must provide the patient with the relevant privacy information and obtain explicit, free, informed, specific, and understandable consent. Consent must be logged through the platform where required. For minors in Québec, healthcare professionals must verify age. A minor aged 14 or older may generally provide consent directly; for a minor under 14, consent must be obtained and logged from the holder of parental authority or legal guardian.

  8. Privacy and personal information

    Use of FrontRx is governed by the FrontRx Privacy Policy. Users must comply with the Privacy Policy, clinic instructions, and all applicable privacy laws. Users acknowledge that FrontRx may process sensitive personal health information only for defined purposes: clinical drafting support, continuity of care, RAMQ billing support, consent documentation, security, auditability, and related platform operations.

  9. Data minimization and prohibited uses

    Users must provide only the information reasonably necessary for the workflow. Production personal information and personal health information must not be used for development, testing, training, demonstrations, model training, or non-production environments. Test and demo workflows must use synthetic or legally de-identified data unless FrontRx has expressly approved another lawful basis in writing.

  10. Retention, deletion, and official records

    FrontRx retention is finite and configured according to the Privacy Policy, clinic contract, and applicable law. Audio and raw transcripts are intended to be ephemeral and deleted after processing or within the applicable short retention period. Generated notes, prescriptions/orders, patient lists, and billing-support records follow finite clinic-configured retention settings. Users are responsible for transferring validated outputs into the appropriate official record system when required. Deleting information from FrontRx may not delete information already exported, filed, transmitted, retained in a clinic record, or retained in audit/security/backup/consent-proof logs where legally required.

  11. Security

    Users must comply with FrontRx security controls, including role-based access, least privilege, authentication requirements, audit logging, and incident reporting. Users must promptly report suspected unauthorized access, credential compromise, confidentiality incidents, incorrect access permissions, or security vulnerabilities to FrontRx and the relevant clinic contact.

  12. Third-party services

    FrontRx may rely on vendors and subprocessors under contractual controls, including Microsoft Azure for transcription and generation workflows and AWS Canada Central/Québec for hosting, resilience, and fallback generation, as described in the EFVP and Privacy Policy. Use of FrontRx may also involve secure eFax and other communications providers where configured. FrontRx may modify vendors, architecture, or subprocessors where it maintains appropriate safeguards and updates required notices or agreements.

  13. eFax and external communications

    Where eFax or external communication features are enabled, the sending user is responsible for confirming the recipient, destination fax number, content, authorization, and clinical appropriateness before transmission. FrontRx logs these transmissions for audit and security purposes.

  14. Account suspension and termination

    FrontRx may suspend or terminate access if a user or organization breaches these Terms, fails credential verification, creates security risk, fails to pay applicable fees, misuses the service, violates privacy obligations, or uses the platform outside the authorized scope. Clinic administrators may also deactivate accounts according to clinic procedures. Inactive accounts may be revoked according to FrontRx access-control policies.

  15. Subscriptions, fees, and payment

    If FrontRx is provided under a subscription, order form, quote, statement of work, or clinic agreement, fees, payment terms, taxes, renewals, cancellations, and support commitments are governed by that written agreement. In case of conflict, the signed commercial agreement controls over this section for commercial terms only; privacy, security, clinical-safety, and legal-compliance obligations continue to apply.

  16. Intellectual property

    FrontRx and its software, interfaces, models, documentation, workflows, trademarks, and related materials are owned by FrontRx or its licensors. Users receive only a limited, non-exclusive, non-transferable right to use the service for authorized purposes during the applicable term. Users and clinics retain rights in their patient information and clinical content, subject to FrontRx's limited right to process it to provide and secure the service.

  17. Feedback

    If you provide suggestions or feedback, FrontRx may use that feedback to improve the service without obligation to you, provided that FrontRx does not use identifiable patient information except as permitted by the Privacy Policy and applicable law.

  18. Availability and changes

    FrontRx aims to provide reliable service but does not guarantee uninterrupted, error-free, or always-available operation. FrontRx may modify, suspend, or discontinue features for security, compliance, maintenance, vendor, or operational reasons. FrontRx will use reasonable efforts to communicate material changes to affected clinics.

  19. Disclaimers

    To the maximum extent permitted by law, FrontRx is provided on an "as is" and "as available" basis. FrontRx does not warrant that outputs will be complete, accurate, clinically appropriate, or suitable without professional review. Users must independently verify all AI-assisted outputs and transmitted content.

  20. Limitation of liability

    To the maximum extent permitted by applicable law, FrontRx will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including loss of profits, loss of data, business interruption, or clinical consequences arising from unreviewed or improperly used outputs. Nothing in these Terms limits liability that cannot legally be limited.

  21. Indemnity

    You and your organization agree to indemnify and hold FrontRx harmless from claims arising from misuse of the service, failure to obtain consent, unauthorized processing, credential sharing, failure to review outputs, incorrect transmission destinations, violation of law or professional obligations, or breach of these Terms.

  22. Governing law and dispute resolution

    These Terms are governed by the laws of Québec and applicable Canadian federal laws, without regard to conflict-of-law rules. Unless another written agreement states otherwise, disputes will be brought before the competent courts in Québec.

  23. Changes to Terms

    FrontRx may update these Terms to reflect changes to the platform, EFVP, law, vendors, security controls, or business arrangements. Continued use after notice of changes means acceptance of the updated Terms.
